Legal Jurisdiction & Dispute Resolution
1. Governing Law and Exclusive Jurisdiction
All commercial transactions, agreements, and disputes arising out of or in connection with MeeThought E-Commerce Private Limited shall be governed by and construed in accordance with the laws of India.
- Exclusive Venue: Any legal action shall be brought exclusively in the courts located in Hyderabad, Telangana, India (Pincode 500049).
- Waiver: The Buyer irrevocably waives any objection to jurisdiction in Hyderabad courts.
2. Arbitration Clause (For International Clients)
- Disputes shall be settled under the Arbitration and Conciliation Act, 1996 (India).
- Seat: Hyderabad, Telangana, India
- Language: English
- Arbitrator: Sole Arbitrator appointed by MeeThought
Banking & Payment Terms (Export Specific)
1. Accepted Payment Modes
As per FEMA and RBI regulations, we accept:

T/T (Wire Transfer):
- 50% Advance at Order Confirmation
- 50% Balance against scanned Bill of Lading before document release

Letter of Credit (L/C):
- Applicable for orders above $20,000
- Must be Irrevocable, Confirmed, At Sight
- Discrepancy charges borne by Buyer
2. Bank Charges & Currency
- Sender Charges: Paid by Buyer
- Beneficiary Charges: Paid by MeeThought
- Currency Validity: Prices valid for 7 days; subject to revision on fluctuation
3. Compliance Documents (FIRC / e-BRC)
Payments must be made via official banking channels to generate FIRC and e-BRC. Cash and third-party payments are not accepted.
Logistics & Shipping Terms
1. Cargo Definitions

LCL (Less than Container Load):
- Freight based on CBM or volumetric weight
- Possible consolidation delays (not our liability)

FCL (Full Container Load):
- Entire container used by buyer
2. Incoterms (Liability Transfer)
- EXW: Buyer handles pickup from Hyderabad warehouse
- FOB: We handle till Indian port; risk transfers on loading
- CIF: We pay shipping & insurance; Buyer handles duties
3. Customs & Import Duties
- Importer of Record: Buyer
- Charges: Duties, VAT/GST, THC, Demurrage paid by Buyer
- Rejection: No refund if goods rejected due to import issues
Force Majeure (Act of God)
MeeThought E-Commerce Private Limited shall not be liable for delays due to:
- Natural disasters (Floods, Earthquakes, Cyclones)
- Pandemics or quarantine restrictions
- War or civil disturbances
- Government export bans
- Port strikes or global logistics disruptions
In such cases, delivery timelines will be extended accordingly.
